News Flash No. 28/2025


The recent Decree-Law No. 159/2025, which has been in force since last Oct. 31, 2025 and contains "Urgent measures for the protection of health and safety in the workplace and in the field of civil protection," in Article 13 specifies how the rules on the obligation of company directors to notify the Registry of Companies of their digital domicile (PEC) (amendment of Article 5, Paragraph 1, of Decree-Law No. 179 of 2012, as already amended by Article 1, Paragraph 860 of Budget Law 2025) change.

 

The new rule changed the previous framework that had extended--in a general sense--to directors of incorporated companies the obligation to notify the business registry of their digital domicile, and narrowed the scope of those obligated.

 

Alternatively, the sole director or the chief executive officer or, in the absence of the latter, the chairman of the board of directors are required to comply.
