PEC Requirement for Directors

The recent Decree-Law No. 159/2025, in effect since October 31, 2025, and entitled “Urgent Measures for the Protection of Health and Safety in the Workplace and in the Area of Civil Protection,” specifies in Article 13 how the rules have changed regarding the obligation for company directors to report their digital domicile (PEC) to the Business Register (amendment to Article 5, paragraph 1, of Decree-Law No. 179 of 2012, as previously amended by Article 1, paragraph 860, of the 2025 Budget Law).

 

The new regulation has amended the previous framework, which had generally extended the obligation to report their digital address to the business registry to directors of corporations, and has narrowed the scope of those subject to this obligation.

 

The sole director or the chief executive officer—or, in the absence of the latter, the Chair of the Board of Directors—is responsible for compliance, as applicable.
